By accessing or using ShopShield ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

These terms constitute a legally binding agreement between you and ShopShield. We may update these terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

Service Description

Summary: ShopShield scans your product listings for trademark violations and policy issues. We detect and flag potential problems to help reduce your risk — we do not guarantee compliance.

ShopShield is a compliance scanning tool for Shopify merchants that detects and flags potential trademark violations, prohibited items, and policy issues in product listings. Our Service:

Scans product content (text, images, tags) for potential compliance issues
Provides risk assessments and actionable recommendations
Offers AI-powered suggestions to fix flagged content
Syncs connected stores so you can scan listings for compliance issues
Pushes approved fixes to your store on your behalf (when authorized)

Our Service provides informational guidance based on publicly available trademark databases (including the U.S. Patent and Trademark Office federal registry) and published marketplace policies (including Shopify's and Etsy's). It does not constitute legal advice and should not be relied upon as such. For legal questions, always consult a qualified intellectual property attorney.

You understand and agree that:

No guarantee of compliance: The Service detects and flags potential issues and helps reduce risk; passing our scan does not guarantee your listing is compliant with all laws and policies
No prevention of platform actions: The Service does not and cannot prevent account suspensions, listing removals, or other enforcement actions by any marketplace
Trademark complexity: Trademark law is context-dependent and varies by jurisdiction
Policy changes: Marketplace policies (including Shopify's and Etsy's) may change at any time without notice
No liability for platform actions: We are not responsible for any actions Shopify, Etsy, or any other marketplace takes against your store or listings
AI limitations: Our AI analysis may have false positives or miss certain issues

Summary: We use AI models to analyze your listings. AI suggestions require your review before use - you remain responsible for your content.

What AI Powers

Text analysis: Identifying potential trademark and policy violations in titles, descriptions, and tags
Image analysis: Using AI vision models to scan product images for IP issues
Suggestions: Generating alternative wording for flagged content

You acknowledge that:

AI analysis may produce false positives or miss certain issues
AI-generated suggestions require your review and approval before use
You remain fully responsible for all content in your listings
AI suggestions are recommendations, not guarantees of compliance

Account Registration

Summary: Create an account with accurate info. Keep your credentials secure. You're responsible for all activity under your account.

To use certain features, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account
Not share your account with others or create multiple accounts

Shopify Store Connection

Summary: Installing the app from the Shopify App Store authorizes us to read your products and apply only the fixes you approve. Uninstall anytime to revoke access.

When you install ShopShield from the Shopify App Store:

You authorize us to access your store's product data through the Shopify Admin API using the read_products scope (product titles, descriptions, tags, images, status, and price)
The write_products scope is used only to apply fixes you explicitly approve — we never modify your products without your action
You can revoke this access at any time by uninstalling the app from your Shopify admin
You remain fully responsible for your store and its compliance with all applicable laws and policies

We do NOT access your customer data, orders, sales data, financial information, or any other data outside the product scopes listed above.

ShopShield is an independent application. We are not affiliated with, endorsed by, or sponsored by Shopify Inc. "Shopify" is a trademark of Shopify Inc.

Etsy Shop Connection

Summary: You authorize us to access your Etsy listings. We only access what's needed for scanning. You can revoke access anytime.

When you connect your Etsy shop to ShopShield:

You authorize us to access your listing data through Etsy's official API
You authorize us to make changes to listings on your behalf when you explicitly request it
You can revoke this access at any time through your Etsy account settings
You remain fully responsible for your Etsy shop and its compliance with all applicable laws and policies

We access only the minimum data necessary to provide our service. We do NOT access your sales data, financial information, customer data, or private messages.

Subscription and Payments

Summary: App Store installs are billed through Shopify; accounts created on shop-shield.com are billed through Stripe. All plans include a 7-day free trial. Subscriptions auto-renew. Cancel anytime.

Shopify App Store Billing

If you installed ShopShield from the Shopify App Store, your subscription is billed through the Shopify Billing API and appears on your Shopify invoice. All plans include a 7-day free trial. Uninstalling the app cancels your subscription automatically.

Direct Billing (shop-shield.com)

For accounts created directly on shop-shield.com, paid subscriptions are billed monthly or annually through Stripe. By subscribing, you agree:

To pay all fees associated with your subscription plan
That subscriptions auto-renew unless cancelled before the renewal date
To our refund policy: 7-day money-back guarantee for your first subscription
That we may change pricing with 30 days advance notice
That failed payments may result in service suspension

You can cancel your subscription at any time through your account settings (or, for Shopify App Store installs, by uninstalling the app). Cancellation takes effect at the end of your current billing period.

Acceptable Use

Summary: Use our service to stay compliant, not to circumvent Etsy's policies. Don't abuse our systems.

You agree NOT to:

Use our Service for any illegal purpose
Attempt to reverse engineer, copy, or replicate our compliance algorithms
Share your account with others or resell access to our Service
Overwhelm our systems with automated requests or scraping
Use our Service to circumvent Shopify's, Etsy's, or any other marketplace's policies (we help you comply, not cheat)
Interfere with the security or integrity of our Service
Use our Service to infringe on others' intellectual property rights

Intellectual Property

Summary: We own ShopShield. You own your listings. We only use your content to provide the service.

ShopShield and its original content, features, functionality, and branding are owned by us and are protected by copyright, trademark, and other intellectual property laws.

You retain full ownership of your listing content. By using our Service, you grant us a limited, non-exclusive license to process your content solely to provide the Service. This license terminates when you delete your account.

Limitation of Liability

Summary: We're not liable for marketplace actions or third-party claims. Maximum liability is 12 months of fees paid.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPSHIELD SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Lost profits, sales, business opportunities, or revenue
Actions taken by Shopify, Etsy, or any other marketplace against your store or listings
Trademark claims or legal actions by third parties
Data loss or service interruptions
Decisions made based on our AI recommendations

Our total liability shall not exceed the amount you paid us in the 12 months immediately preceding the claim.

Indemnification

Summary: You agree to protect us from claims arising from your use of our service or violations of these terms.

You agree to indemnify, defend, and hold harmless ShopShield and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Any content you submit through the Service

Dispute Resolution

Summary: Let's try to resolve issues informally first. If that fails, disputes go to binding arbitration.

Informal Resolution: Before filing any formal claim, you agree to contact us at [email protected] to attempt informal resolution. We will work in good faith to resolve your concern within 30 days.

Binding Arbitration: If we cannot resolve the dispute informally, any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration will be conducted in English.

Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief for intellectual property violations.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration.

Service Modifications

Summary: We may update, modify, or discontinue features. We'll try to give you notice of major changes.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Termination

Summary: We can terminate accounts for Terms violations. You can cancel anytime. Data deletion within 30 days.

We may terminate or suspend your account immediately, without prior notice, for any violation of these Terms or for any other reason at our sole discretion.

You may cancel your account at any time through your account settings or by contacting us. Upon termination:

Your right to access the Service will cease immediately
We will delete your personal data within 30 days (unless legally required to retain it)
You remain liable for any fees incurred before termination

Governing Law

Summary: These terms are governed by Delaware law, USA.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
